1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the ZYVANTA AI platform, websites (including zyvanta.online), APIs, and associated services (collectively, the "Services") provided by ZYVANTA PRIVATE LIMITED ("ZYVANTA", "we", "us", or "our").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization. If you do not agree, you must not use our Services.

2. Description of Services

ZYVANTA provides an AI-powered platform for video translation, neural dubbing, lip-syncing (LipGAN), and voice cloning. We continuously update and improve our models; therefore, the output quality, generation speed, and available features may change over time without prior notice.

You acknowledge that AI-generated content can occasionally produce anomalous, inaccurate, or unexpected results. You are solely responsible for reviewing all generated output before publishing or utilizing it in any commercial capacity.

3. Acceptable Use Policy & Safety

Given the powerful nature of generative AI, strict adherence to our Acceptable Use Policy is mandatory. You agree NOT to use the Services to:

• Generate Deepfakes: Create unauthorized voice clones or video dubs of public figures, politicians, celebrities, or any private individual without their explicitly documented, legally binding consent.
• Deceive or Defraud: Create content intended to impersonate others for fraudulent purposes, phishing, or bypassing biometric security systems.
• Harmful Content: Generate or translate content that promotes hate speech, violence, self-harm, or illegal activities.
• Non-Consensual Intimate Imagery (NCII): Generate, process, or alter sexually explicit content or pornography.

Enforcement: ZYVANTA utilizes automated content classifiers and invisible C2PA metadata watermarking. Violation of these safety protocols will result in immediate, permanent account termination and potential reporting to law enforcement authorities.

4. Intellectual Property Rights

4.1 Your Content

You retain all ownership rights to the scripts, audio, video files, and voice reference data you upload to the platform ("Input Data"), as well as the localized videos and audio generated by the platform ("Output Data").

4.2 Our License to Your Content

By submitting Input Data, you grant ZYVANTA a limited, worldwide, non-exclusive license to process, store, and transmit your data solely for the purpose of providing the Services to you. We explicitly state that we do not use your personal Input Data or Voiceprints to train our foundational models unless you actively opt-in via a separate Enterprise agreement.

4.3 Our Intellectual Property

The ZYVANTA platform, proprietary models (including LipGAN derivatives), source code, branding, and API architectures are the exclusive property of ZYVANTA PRIVATE LIMITED. These Terms do not grant you any rights to our underlying technology.

5. Subscriptions and Payments

Fees: Access to certain premium features requires a paid subscription or API credit purchase. All fees are stated in US Dollars (USD) unless otherwise specified and are exclusive of applicable taxes.

Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis. Your subscription will automatically renew unless canceled prior to the renewal date.

Refunds: Due to the high compute costs associated with GPU rendering, all payments are non-refundable, except where required by law or in the case of a verified billing error.

6. Suspension & Termination

You may terminate your account at any time through your dashboard settings. We may suspend or terminate your access to the Services at any time, with or without cause, including if we reasonably believe you have violated these Terms (especially Section 3). Upon termination, your right to use the Services immediately ceases, and we will purge your data in accordance with our Privacy Policy.

7. Limitation of Liability and Disclaimers

Disclaimer of Warranties: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." ZYVANTA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZYVANTA PRIVATE LIMITED, ITS FOUNDERS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID ZYVANTA IN THE PAST TWELVE MONTHS.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra, India.
